These Terms constitute a legally binding agreement between you and CipherPilot regarding your use of our business analysis and consulting services.

Payment terms, including fees, payment schedules, and accepted payment methods, will be specified in your service agreement. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may incur additional charges as permitted by law. CipherPilot reserves the right to suspend or terminate services for non-payment of fees.
All content, materials, methodologies, reports, and deliverables created by CipherPilot remain our intellectual property unless otherwise specified in writing. You are granted a limited, non-exclusive licence to use the deliverables for your internal business purposes only. You may not reproduce, distribute, modify, or create derivative works from our proprietary materials without express written permission. Any pre-existing intellectual property rights of either party remain unchanged.
Both parties acknowledge that they may have access to confidential information belonging to the other party. Each party agrees to maintain the confidentiality of such information and use it solely for the purposes of the engagement. This obligation survives the termination of our business relationship. CipherPilot implements appropriate measures to protect client confidentiality and will not disclose your business information to third parties without your consent, except as required by law.
CipherPilot provides advisory services based on the information provided by clients and publicly available data. Our recommendations and analysis are opinions based on our professional judgement and should not be considered as guarantees of future performance or outcomes. To the maximum extent permitted by law, CipherPilot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
CipherPilot strives to provide high-quality professional services in accordance with industry standards. However, business decisions ultimately rest with the client, and we cannot guarantee specific business outcomes or results. Our role is to provide analysis, insights, and recommendations to inform your decision-making process. You acknowledge that business ventures involve inherent risks and uncertainties that cannot be eliminated through consulting services.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Either party may terminate the service agreement with written notice as specified in the individual service agreement. Upon termination, you remain obligated to pay for all services rendered up to the termination date. CipherPilot may immediately terminate services if you breach these Terms or fail to make required payments. Termination does not affect any rights or obligations that accrued prior to termination, including confidentiality obligations and payment obligations.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions. In such events, the affected party will notify the other party and make reasonable efforts to minimise the impact of the delay.
CipherPilot reserves the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website with a new "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms. For significant changes, we will make reasonable efforts to notify existing clients directly.
These Terms, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between you and CipherPilot regarding the use of our services. These Terms supersede all prior agreements, understandings, or communications, whether written or oral, relating to the subject matter herein.
